Roamsys ChatGPT Plugin

1. Introduction

These Terms of Service govern the access to and use of the ROAMSYS ChatGPT Plugin provided by ROAMSYS S.A.
ROAMSYS ChatGPT Plugin implements MCP (Model Context Protocol) and enables compatible AI applications to securely interact with supported ROAMSYS products. These terms establish the legal framework governing the use of the ROAMSYS ChatGPT Plugin. They apply regardless of future enhancements, additional features or modifications to the ROAMSYS ChatGPT Plugin and remain effective unless replaced by an updated version published by ROAMSYS. By accessing or using the ROAMSYS ChatGPT Plugin, you acknowledge that you have read, understood and agree to be bound by these terms. If you do not agree to these terms, you must not access or use the ROAMSYS ChatGPT Plugin.

1.1. Definitions

For the purposes of theses terms:

  • Customer means the legal entity subscribing to the ROAMSYS ChatGPT Plugin.
  • User means an individual authorised by the Customer to use ROAMSYS ChatGPT Plugin.

1.2. Contracting Parties

These terms apply to the customer that has subscribed to the ROAMSYS ChatGPT Plugin. Authorised users may access and use the ROAMSYS ChatGPT Plugin on behalf of the customer and are required to comply with these terms. The customer remains responsible for ensuring that its authorised users comply with these terms.
ROAMSYS is responsible for the operation, maintenance and security of the ROAMSYS ChatGPT Plugin and acts as a processor on behalf of the Customer in relation to personal data processed through the ROAMSYS ChatGPT Plugin. ROAMSYS is not the provider of, and assumes no responsibility for, any third-party AI applications connected to the ROAMSYS ChatGPT Plugin. The Customer remains responsible for the selection and use of such AI applications.

3. Description of the ROAMSYS ChatGPT Plugin

The ROAMSYS ChatGPT Plugin provides a standardised interface between supported ROAMSYS products and compatible AI applications implementing the Model Context Protocol (MCP). Its purpose is to enable authorised users to interact with ROAMSYS products through natural language and other supported interactions while maintaining the permissions and access restrictions defined within the ROAMSYS platform. Depending on the functionality made available by the ROAMSYS ChatGPT Plugin and the permissions assigned to a user, interactions may include retrieving information, generating reports, summaries or other outputs, initiating authorised operations, automating workflows or performing other supported actions. The scope, capabilities and supported ROAMSYS products may change over time as the ROAMSYS ChatGPT Plugin evolves. Such changes do not affect the validity or applicability of these terms. Nothing in these terms obliges ROAMSYS to introduce, maintain or discontinue any particular feature or functionality.

4. Eligibility and Permitted Use

The ROAMSYS ChatGPT Plugin may only be used by customers holding a valid licence for the ROAMSYS ChatGPT Plugin and by users who have been authorised by the customer and possess a valid ROAMSYS user account. ROAMSYS employees may use the ROAMSYS ChatGPT Plugin for authorised internal testing, development or demonstration purposes. The customer is responsible for ensuring that only authorised users are granted access to the ROAMSYS ChatGPT Plugin and that such users comply with these terms. The ROAMSYS ChatGPT Plugin may only be used for legitimate business purposes and in accordance with all applicable laws and regulations.
Users must not:

  • access or attempt to access information for which they are not authorised;
  • use the ROAMSYS ChatGPT Plugin for unlawful, fraudulent or abusive purposes;
  • interfere with or attempt to interfere with the operation, integrity or security of the ROAMSYS ChatGPT Plugin or the ROAMSYS platform;
  • introduce malicious software or otherwise compromise the security of the ROAMSYS ChatGPT Plugin;
  • provide access to the ROAMSYS ChatGPT Plugin to unauthorised third parties;
  • sublicense, distribute, lease, resell or commercially exploit the ROAMSYS ChatGPT Plugin without the prior written consent of ROAMSYS;
  • reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, architecture or non-public functionality of the ROAMSYS ChatGPT Plugin, except where expressly permitted under applicable law.

ROAMSYS reserves the right to implement reasonable technical and organisational measures necessary to protect the security, stability and availability of the ROAMSYS ChatGPT Plugin.

5. User Permissions

The ROAMSYS ChatGPT Plugin operates within the existing authorisation model of the ROAMSYS platform. Users may access information and perform only those actions that are permitted by their assigned ROAMSYS permissions. The ROAMSYS ChatGPT Plugin neither grants additional privileges nor modifies existing access rights. It does not bypass authentication, authorisation or security controls implemented within the ROAMSYS platform. The customer remains solely responsible for assigning, managing and reviewing user permissions within the ROAMSYS platform.

6. Third-Party AI Applications

The ROAMSYS ChatGPT Plugin is intended to operate with compatible third-party AI applications implementing the Model Context Protocol. Such AI applications are independent services provided by third parties and are not owned, operated or controlled by ROAMSYS. The availability, functionality, performance, security, privacy practices and terms governing such AI applications are determined solely by the respective provider. Customers are responsible for selecting AI applications appropriate for their own operational, legal and compliance requirements. Customers are also responsible for ensuring that any transfer of personal data to such AI applications complies with applicable data protection laws and regulatory requirements.
ROAMSYS is not responsible for the operation, availability or behaviour of third-party AI applications, nor for changes made to such services by their respective providers.

7. AI-Generated Content

The ROAMSYS ChatGPT Plugin enables compatible AI applications to process authorised information and generate outputs based on user instructions. Such outputs may include summaries, reports, analyses, recommendations, presentations, workflow suggestions or other forms of generated content. AI-generated content may be incomplete, inaccurate or unsuitable for a particular purpose. Users are therefore responsible for independently reviewing, validating and approving all generated content before relying upon it, sharing it or implementing any resulting decision or action.
ROAMSYS does not guarantee the accuracy, completeness, reliability or suitability of AI-generated content and accepts no responsibility for decisions, actions or business outcomes based on such content.

8. Intellectual Property

The ROAMSYS ChatGPT Plugin, including its software, interfaces, documentation, design, trademarks and all associated materials, is and shall remain the exclusive intellectual property of ROAMSYS S.A. or its licensors. These terms grant the customer a limited, non-exclusive, non-transferable and non-sublicensable right to use the ROAMSYS ChatGPT Plugin solely in accordance with these terms and any applicable licence agreement. No ownership rights or intellectual property rights are transferred to the customer or any user through the use of the ROAMSYS ChatGPT Plugin. Nothing in these terms restricts the customer’s ownership of its own data, business information or content processed through the ROAMSYS ChatGPT Plugin.

9. Availability, Suspension and Termination

ROAMSYS endeavours to provide the ROAMSYS ChatGPT Plugin with a high level of availability. However, uninterrupted, error-free or continuous operation cannot be guaranteed. ROAMSYS may temporarily suspend, restrict or interrupt access to the ROAMSYS ChatGPT Plugin where reasonably necessary to:

  • perform maintenance or technical improvements;
  • protect the security, integrity or availability of the ROAMSYS ChatGPT Plugin or the ROAMSYS platform;
  • investigate or prevent suspected misuse;
  • comply with applicable legal or regulatory requirements.

ROAMSYS may suspend or terminate access to the ROAMSYS ChatGPT Plugin if the customer or any user materially breaches these terms or uses the ROAMSYS ChatGPT Plugin in a manner that could reasonably compromise the security, stability or lawful operation of the ROAMSYS ChatGPT Plugin or the ROAMSYS platform.
Termination or suspension of the ROAMSYS ChatGPT Plugin does not automatically terminate any separate agreement relating to other ROAMSYS products or services unless expressly agreed otherwise.

10. Confidentiality

Each party shall treat all confidential or proprietary information obtained through the use of the ROAMSYS ChatGPT Plugin as confidential and shall protect such information with at least the same degree of care it applies to its own confidential information, but in no event less than a reasonable standard of care.
Confidential information shall not be disclosed to third parties except where:

  • disclosure is required by applicable law;
  • disclosure is necessary for the performance of these terms; or
  • the receiving party has obtained the prior written consent of the disclosing party.

This obligation does not apply to information that:

  • is or becomes publicly available without breach of these terms;
  • was lawfully known prior to disclosure;
  • is lawfully obtained from an independent third party; or
  • is independently developed without reference to the confidential information.

11. Disclaimer of Warranties and Limitation of Liability

To the fullest extent permitted by applicable law, the ROAMSYS ChatGPT Plugin is provided on an “as is” and “as available” basis. ROAMSYS makes no express or implied warranties regarding the uninterrupted availability, accuracy, reliability, performance, merchantability, fitness for a particular purpose or non-infringement of the ROAMSYS ChatGPT Plugin.
The customer acknowledges that compatible AI applications may generate inaccurate, incomplete or misleading information. The customer and its users remain solely responsible for reviewing, validating and approving any information, recommendation, action or output before relying upon or implementing it. To the fullest extent permitted by applicable law, ROAMSYS shall not be liable for any indirect, incidental, consequential, exemplary, special or punitive damages, including loss of profits, revenue, business opportunities, goodwill, data or anticipated savings, arising out of or relating to the use of, or inability to use, the ROAMSYS ChatGPT Plugin.
Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited under applicable law.

12. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the Grand Duchy of Luxembourg, without regard to its conflict of law principles. Any dispute arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts of Luxembourg, unless mandatory provisions of applicable law require otherwise.

13. Changes to these Terms

ROAMSYS may amend these terms from time to time to reflect legal, technical, operational or business developments. The current version of these terms will be made available through the ROAMSYS website or together with the ROAMSYS ChatGPT Plugin documentation. Continued access to or use of the ROAMSYS ChatGPT Plugin after revised terms become effective constitutes acceptance of the updated terms. If the customer does not agree to the revised terms, use of the ROAMSYS ChatGPT Plugin must be discontinued.
